Role of the Compensation Committee and Management The Committee determines the total compensation arrangements for the CEO and other members of executive management, including the Named Executive Officers. The compensation of the Companys executive officers, other than the CEO, is approved by the Committee alone. The Committees compensation decisions for the CEO are ratified by the independent members of the Board of Directors. The Committee also provides guidance and oversight to management on the Companys compensation policies for all employees. The Committee consists entirely of non-employee directors, each of whom qualifies as an independent director under the rules of The New York Stock Exchange, an outside director as defined under Section 162(m) of the Internal Revenue Code of 1986, as amended, and a non-employee director as defined in Rule 16b-3 under the Securities and Exchange Act of 1934. The Committee operates under a Charter which the Committee reviews annually. The Charter is approved by the full Board and can be found on the Companys website under Corporate Governance at http://www.sybase.com/about_sybase/investorrelations. The CEO makes recommendations to the Committee with respect to compensation for other executives, including the structure and terms of these executives annual cash incentives and long-term incentives. Certain Finance and Human Resources executives assist the CEO in structuring his proposals regarding the design of the annual cash incentives and long-term incentives. The CEO participates in the Committees discussions regarding the other executives compensation, but the CEO does not participate in the portions of the meetings during which his own compensation is deliberated.
