shall procure (in the case of first exchange) the delivery (free of charge to
the bearer) of a Permanent Global Note (which expression has the meaning given
in the Trust Deed) in accordance with the Paying Agency Agreement to the bearer
of this Temporary Global Note or (in the case of any subsequent exchange) an
increase in the principal amount of the Permanent Global Note in accordance with
its terms against:
during
normal business hours on or after the date which is 40 days after this Temporary
Global Note is issued.
The
principal amount of the Permanent Global Note shall be equal to the aggregate of
the principal amounts specified in the certificates issued by Euroclear
and/or

Clearstream,
Luxembourg and/or any other relevant clearing system and received by the
Principal Paying Agent; provided, however, that in no circumstances
shall the principal amount of the Permanent Global Note exceed the initial
principal amount of this Temporary Global Note.
If the
Final Terms specify the form of Notes as being "Temporary Global Note
exchangeable for Definitive Notes" and also specify that the C Rules are
applicable or that neither the C Rules nor the D Rules are applicable, then not
earlier than 40 days after the date of issue of this Temporary Global Note, the
Issuer shall procure the delivery (free of charge to the bearer) of Definitive
Notes (which expression has the meaning given in the Trust Deed) in accordance
with the Paying Agency Agreement with Coupons and Talons (if so specified in the
Final Terms) attached and in an aggregate principal amount equal to the
principal amount of this Temporary Global Note to the bearer of this Temporary
Global Note against presentation and surrender of this Temporary Global Note at
the Specified Office of the Principal Paying Agent during normal business hours,
on or after the expiry of the notice period specified in the relevant Final
Terms.
If the
Final Terms specify the form of Notes as being "Temporary Global Note
exchangeable for Definitive Notes" and also specify that the D Rules are
applicable, then not earlier than 40 days after the date of issue of this
