Paying Agency Agreement:  are the subject of a paying agency agreement dated 30 September 2008 (the "Paying Agency Agreement") made between the Issuer, [Syngenta Finance N.V./ Syngenta Finance AG], the Guarantor, the Trustee and The Bank of New York Mellon, as principal paying agent (the "Principal Paying Agent", which expression includes any successor principal paying agent appointed from time to time in connection with the Notes). The expression "Paying Agents" means the Principal Paying Agent and includes any additional or successor paying agents appointed from time to time in connection with the Notes.

Construction
 
All references in this Global Note to an agreement, instrument or other document (including the Paying Agency Agreement and the Trust Deed) shall be construed as a reference to that agreement, instrument or other document as the same may be amended, supplemented, replaced or novated from time to time provided that, in the case of any amendment, supplement, replacement or novation made after the date hereof, it is made in accordance with the Conditions. Headings and sub-headings are for ease of reference only and shall not affect the construction of this Global Note.
