On February 26, 2009, Tarrant Apparel Group, a California corporation (the Company), entered into an Agreement and Plan of Merger (the Merger Agreement) with Sunrise Acquisition Company, LLC, a California limited liability company 100% owned by Gerard Guez and Todd Kay (Parent), Sunrise Merger Company, a California corporation and a wholly owned subsidiary of Parent (Merger Sub), Gerard Guez, the Companys Interim Chief Executive Officer and Chairman of its Board of Directors, and Todd Kay, the Companys Vice-Chairman of its Board of Directors. We previously disclosed our entry into the Merger Agreement in our Current Report on Form 8-K filed with the Securities and Exchange Commission on February 26, 2009.
On June 26, 2009, the parties to the Merger Agreement entered into Amendment No. 1 to Agreement and Plan of Merger (the Amendment No. 1), solely to amend the definition of End Date found in Section 6.1(b) of the Merger Agreement to extend from June 30, 2009 to September 30, 2009 the date following which either the Company or Parent may terminate the Merger Agreement if the merger has not been completed.
The Amendment No. 1 is attached as Exhibit 2.1 hereto and is incorporated by reference herein. The foregoing description of the Amendment No. 1 does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment No. 1.

Parent, Merger Sub and the Company and their respective directors, managers and executive officers and other members of management and employees may be deemed to be participants in the solicitation of proxies in respect of the Merger. Gerard Guez, the Companys interim chief executive officer and chairman of the board of directors, is the president, secretary and chief financial officer and sole director of Merger Sub and a member and a manager of Parent and Todd Kay is a member and a manager of Parent.
