The Audit Committee has discussed with PricewaterhouseCoopers LLP the matters required to be discussed with the independent auditors pursuant to Statement on Auditing Standards No. 61 (Communication with the Audit Committees), including the quality of the Corporations accounting principles, the reasonableness of significant judgments and the clarity of disclosures in the financial statements. The Audit Committee also discussed with PricewaterhouseCoopers LLP matters relating to its independence, including review of audit and non-audit fees and the written disclosures and letter from PricewaterhouseCoopers LLP to the Audit Committee pursuant to Independence Standards Board Standard No. 1 (Independence Discussions with Audit Committees). Taking all of these reviews and discussions into account, the undersigned Audit Committee members have recommended that the Board approve the Corporations 2008 audited financial statements and their inclusion in the Corporations Annual Report on Form 10-K for the fiscal year ended December 31, 2008, for filing with the SEC.
