In all cases, beneficial shareholders should carefully follow the instructions provided by the intermediary. Proxies returned by intermediaries as non-votes because the intermediary has not received instructions from the beneficial shareholder with respect to the voting of certain shares or, under applicable stock exchange or other rules, the intermediary does not have the discretion to vote those shares on one or more of the matters that come before the meeting, will be treated as not entitled to vote on any such matter and will not be counted as having been voted in respect of any such matter. Shares represented by such broker non-votes will, however, be counted in determining whether there is a quorum for the meeting. There are two types of beneficial shareholders: (i) those who object to their name being made known to the issuers of the securities that they own (OBOs or Objecting Beneficial Owners); and (ii) those that do not object to their name being made known to the issuers of the securities that they own (NOBOs or Non-Objecting Beneficial Owners). The Corporation has elected to deliver proxy-related materials directly to its NOBOs (rather than through Broadridge or another intermediary established by their broker or agent). As a result, NOBOs can expect to receive a form of proxy directly from Computershare. These proxies should be completed and returned to Computershare in the envelope provided for that purpose. OBOs will continue to receive their proxy-related materials from Broadridge or another intermediary and their proxy will be returned to the intermediary rather than to Computershare.
