Average Price” shall mean the arithmetic mean of the NASDAQ Official Closing Price as indicated on Bloomberg Page “DTV.UQ <Equity> HP <GO>” (or any successor or replacement page) or, if such price is not available, the closing price as reported in The Wall Street Journal, of DTV Stock on each Wednesday (or, if such day is not a Trading Day, on the first Trading Day immediately following such day) during the six month period ending immediately prior to such date of determination.
