This excerpt taken from the DTV DEF 14A filed Apr 28, 2006. Board Composition The Board currently consists of 11 members but during 2005 consisted of only 10 members. The Board held a total of 9 meetings in 2005 and the independent directors held one separate meeting. In 2005, average attendance at Board and committee meetings was 89%. In addition to being members of the Board, directors may serve on one or more of three standing committees of the Board. Please refer to "Committees of the Board of Directors" commencing on page 11 for information concerning committee responsibilities and current membership. Directors spend a considerable amount of time preparing for Board and committee meetings and, from time to time, may be called upon between meetings. The Board, as well as each committee, can retain the services of outside advisors at their request. |
