5.1.3.      Class B Units

Class B Units shall be available to issue to employees, officers, directors and consultants of the LLC as determined by the Managing Member, subject to Section 7.5.  Class B Units shall be granted solely in exchange for the performance of services, and may be subject to forfeiture, until fully vested, as determined by the Managing Member with respect to each grant of Class B Units.  Class B Units shall be non-voting Units in accordance with
