LLC Interest” means as to any Investor, all of the interest of that Investor in the Company, including without limitation, such Investor’s (i) right to a distributive share of the income, gain, losses and deductions of the Company in accordance with the LLC Agreement, and (ii) right to a distributive share of LLC Assets.  In the event that the Managing Member effects the transactions contemplated by Section 9.5 of the LLC Agreement, the equity interests issued in connection therewith shall be deemed to be an “LLC Interest” hereunder.
