5.             Transfers of Rights.  This Agreement, and the rights and obligations of any Investor hereunder, may be assigned by such Investor to any transferee of such Investor’s LLC Interests to the extent such Investor transfers the LLC Interests in accordance with the LLC Agreement, and, subject to the following sentence, such transferee shall be deemed a “SkyTerra Investor” or “DTVG Investor”, as the case may be, for purposes of this Agreement; provided that the transferor shall give the Company prior written notice of any transfer under this
