Item 8.01 Other Events.
On April 29, 2008, The TriZetto Group, Inc. (the Company or TriZetto) issued a press release in which it announced that the Federal Trade Commission has granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to TriZettos proposed merger with and into a wholly-owned subsidiary of TZ Holdings, L.P. (Parent). Parent is controlled by Apax Partners, L.P. (Apax). BlueCross BlueShield of Tennessee, Inc. and Regence BlueCross BlueShield of Oregon, Regence BlueCross BlueShield of Utah and Regence BlueShield are providing a portion of the funding for the transaction and will be equity investors in the surviving corporation. A copy of the press release is attached hereto as Exhibit 99.1.
