This excerpt taken from the TGI 8-K filed Aug 2, 2005. 6.1.8 Payment of Fees.The Borrower shall pay or cause to be paid to the Administrative Agent for itself and for the account of the Banks all costs and expenses for which the Administrative Agent and the Banks are entitled to be reimbursed, and such other fees and expenses as are due and payable on or before the Closing Date.

3.
