Secretary. The Secretary shall keep the Minutes of the meetings of stockholders and of the Board of Directors and, upon request, of any committees of the Board of Directors, in one or more books provided for that purpose. He shall issue notices of all meetings, except notice of special meetings of directors called at the request of a majority of directors as provided in Section 5 of Article III of these Bylaws, which notice may be issued by such directors. He shall have charge of the seal and the corporate record books and shall make such reports and perform such other duties as are incident to his office, or which may be required of him by the Board of Directors.
