Ultra Clean Holdings, Inc. (“Ultra Clean”) is filing this Form 10-K/A to amend the information contained in Part III, Item 10 of its Annual Report on Form 10-K for the fiscal year ended December 31, 2004 (the “Form 10-K”), which was incorporated by reference into the Form 10-K from its definitive proxy statement filed on Schedule 14A with the Securities and Exchange Commission on April 20, 2005. As a result of this amendment, Ultra Clean is also filing as exhibits to this Form 10-K/A the certifications required under Section 302 and Section 906 of the Sarbanes-Oxley Act of 2002. 2
