Covenants
The clawback policy with respect to violations of noncompetition covenants, applies to a broader group of executives, and applies only to equity compensation.
The policy requires cancellation of unvested options/SARs or other unvested equity awards and forfeiture of all equity awards which vested within one year prior to
termination of employment or anytime thereafter if the employee violates a restrictive covenant.
