FIRST AMENDMENT TO ASSET PURCHASE AGREEMENT

 

This First Amendment to Asset Purchase Agreement (the “Amendment”) is made and entered into as of November 18, 2005, by and among VERISIGN, INC., a Delaware corporation (“Seller”), EBAY INC., a Delaware corporation (“Parent”), PAYPAL, INC., a Delaware corporation (“Purchaser”) and wholly owned subsidiary of Parent, and PAYPAL INTERNATIONAL LIMITED, a company incorporated in the Republic of Ireland and a wholly owned subsidiary of Purchaser (“International” and together with Purchaser, “Purchasers”). Capitalized terms not defined herein shall have the meanings ascribed to such terms in the Purchase Agreement (as defined below).
