Section 8 Other Events
On September 24, 2009, Viacom Inc. (the Company) announced that it had agreed to sell $250,000,000 aggregate principal amount of 4.250% Senior Notes due 2015 (the 2015 Senior Notes) and $300,000,000 aggregate principal amount of 5.625% Senior Notes due 2019 (the 2019 Senior Notes, and together with the 2015 Senior Notes, the Senior Notes). The 2019 Senior Notes are a further issuance of the $250,000,000 aggregate principal amount of 5.625% Senior Notes due 2019 issued by the Company on August 26, 2009. In connection with the issuance and sale of the Senior Notes, on September 24, 2009, the Company entered into an underwriting agreement (the Underwriting Agreement) with Banc of America Securities LLC, J.P. Morgan Securities Inc. and Wells Fargo Securities, LLC, as representatives of the underwriters named in Schedule 1 thereto. The offering is being made pursuant to the Companys effective registration statement on Form S-3 (Registration Statement No. 333-139086) previously filed with the Securities and Exchange Commission (the Registration Statement). The foregoing description of the Underwriting Agreement is qualified in its entirety by reference to the text of the Underwriting Agreement, a copy of which is filed herewith as Exhibit 1.1. On September 29, 2009, in connection with the closing of the sale of the Senior Notes, the Company and The Bank of New York Mellon, as trustee (the Trustee), entered into a sixth supplemental indenture (the Sixth Supplemental Indenture) to the Indenture, dated as of April 12, 2006, between the Company and the Trustee. The Sixth Supplemental Indenture is filed as Exhibit 4.1 to this Report. A copy of the opinion of Shearman & Sterling LLP relating to the legality of the Senior Notes is filed as Exhibit 5.1 to this Report.
