STOCKHOLDER PROPOSALSFOR THE 2006 ANNUAL MEETING
We intend to mail next years proxy statement to our stockholders on or about April 1, 2007. Applicable law requires any stockholder proposal intended to be presented at our 2007 annual meeting of stockholders to be received by us at our office in Exton, Pennsylvania on or before December 11, 2006 in order to be considered for inclusion in our proxy statement and form of proxy for that annual meeting. Securities and Exchange Commission rules provide that if a proponent of a proposal fails to notify us at least 45 days prior to the month and day of mailing of the prior years proxy statement (or any date specified in an advance notice provision), then the management proxies will be allowed to use their discretionary voting authority when the proposal is raised at the meeting, without any discussion of the matter in the proxy statement. With respect to our 2007 annual meeting of stockholders, if we are not provided notice of a stockholder proposal, which the stockholder has not previously sought to include in our proxy statement, by February 24, 2007, the management proxies will be allowed to use their discretionary authority.
