If a Participant fails to designate a Beneficiary as provided in Sections 7.1, 7.2 and 7.3 above, the Beneficiary shall first be deemed to be his or her spouse if his or her spouse resides with the Participant at the time of such Participants death. If a Participant fails to designate a Beneficiary as provided in Sections 7.1, 7.2 and 7.3 above and such spouse has predeceased the Participant or if all designated Beneficiaries predecease the Participant or die prior to complete distribution of the Participants benefits, then the Participants designated Beneficiary shall be deemed to be his or her estate.

Unless the Committee in its discretion determines otherwise, each Outside Director may from time to time name any beneficiary or beneficiaries (who may be named contingently or successively) to whom any benefit under the Plan is to be paid in the event of such Outside Directors death before he or she receives any or all of such benefit. Each such designation shall revoke all prior designations by such Outside Director, shall be in a form prescribed by the Company, and will be effective only when filed by the Outside Director in writing with the Company during the Outside Directors lifetime. In the absence of any such designation, benefits remaining unpaid at the Outside Directors death shall be paid to his or her estate.
