Regulation FD Disclosure.

On February 17, 2010, Walgreen Co. (the “Company”) issued a press release announcing the execution of a purchase agreement among the Company, Duane Reade Holdings, Inc. (“Duane Reade”), and Duane Reade Shareholders, LLC, pursuant to which the Company has agreed to acquire Duane Reade. A copy of this press release is attached hereto as Exhibit 99.1.

In addition to issuing the press release, Walgreen Co. also conducted a conference call and webcast regarding the acquisition. Slides prepared for the purposes of the conference call are available on the Walgreens investor relations Web site at http://investor.walgreens.com.
