Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 23, 2010, Stanley B. Blaylock, senior vice president of Walgreen Co. (the “Company”) and president of Walgreens Health Services, informed the Company that he will leave the Company in April after a transition period. The exact date of Mr. Blaylock’s departure and the material terms and conditions of any agreement between the Company and Mr. Blaylock have not yet been determined and will be described in an amendment to this current report.
