Proposal to Ratify the Appointment of the Independent Registered Public Accounting Firm In accordance with the Audit Committees charter, the Audit Committee has appointed Deloitte & Touche LLP as the Companys independent registered public accounting firm for the fiscal year ending August 31, 2008. Deloitte has been the Companys independent registered public accounting firm since May 2002, and is considered by management to be well qualified. Shareholder ratification of the Audit Committees selection of Deloitte as the Companys independent registered public accounting firm is not required by the Companys By-Laws or otherwise; however, the Board of Directors is submitting the selection of Deloitte to the shareholders for ratification. In the event the shareholders do not ratify the appointment of Deloitte, the selection of an independent registered public accounting firm will be determined by the Audit Committee after careful consideration of any information submitted by the shareholders. In addition, even if the shareholders ratify the selection of Deloitte, the Audit Committee may in its discretion appoint a different independent accounting firm at any time during the year if the Audit Committee determines that a change is in the best interest of the Company. Representatives of Deloitte are expected to be present at the Annual Meeting to respond to shareholders questions and to have the opportunity to make any statements they consider appropriate.
