Article 9. Amendment and Termination

FACE="Times New Roman" SIZE="2">9.1 Amendments

The Company must necessarily and does hereby reserve the right to amend, modify, or terminate the
Plan at any time by action of its Board. The Committee in its sole discretion shall have the power to amend the Plan to:

 





(a)Comply with laws and regulations, or as otherwise may be desirable when prompted by a change in law or regulation; and

(b)Make any other change that may be necessary or desirable provided any amendment adopted pursuant to this Plan section 9.1 shall not increase the Company’s annual expense
by more than five (5) million dollars.

Any material amendment shall be in writing and executed by a duly authorized officer of the
Company or a member of the Committee. An amendment to the Plan may modify its terms in any respect whatsoever, and may include, without limitation, a permanent or temporary freezing of the Plan such that the Plan shall remain in effect with respect
to existing accrued benefits without permitting any new benefit accruals. All Participants and Beneficiaries shall be bound by any amendment.
