                               (d) On May 1, 2007, the Board of Directors of the Registrant elected Susan E. Arnold as Director, effective immediately. Ms. Arnold is vice chairman P&G Beauty & Health of The Proctor & Gamble Company. Ms. Arnold was appointed to serve on the Compensation Committee.
