Purpose of the 2005 Plan

The 2005 Plan governs grants of stock-based awards to employees and non-employee directors. It is designed to support the Company’s long-term business objectives in a manner consistent with our executive compensation philosophy. The Board believes that by allowing the Company to continue to offer its employees long-term, performance-based compensation through the 2005 Plan, the Company will promote the following key objectives:

 

 

aligning the interest of employees with those of the shareholders;

 

 

reinforcing key Company goals and objectives that help drive shareholder value; and

 

 

attracting, motivating and retaining experienced and highly qualified employees who contribute to the Company’s financial success.
