Voting of Proxies
All properly signed proxies that are received prior to the vote at the Annual Meeting and that are not revoked will be voted (or withheld from voting, as the case may be) at the Annual Meeting according to the instructions indicated on the proxies or, if no direction is indicated, as follows:
None of the proposals requires the approval of any other proposal to become effective.
If your stock is held in street name through a bank or a broker, please direct your bank or broker to vote your stock in the manner described in the instructions you have received from your bank or broker. Stockholders are urged to utilize telephone or Internet voting if their bank or broker has provided them the opportunity to do so. See the relevant voting instruction form for instructions. If a stockholders bank or broker holds the shares to be voted and such stockholder wishes to attend the WebMD Annual Meeting and vote in person, such stockholder should please bring a letter from its bank or broker identifying the stockholder as the beneficial owner of the shares and authorizing the stockholder to vote such shares at the meeting.
WebMDs board of directors does not know of any matter that is not referred to herein to be presented for action at the Annual Meeting. If any other matters are properly brought before the meeting, the persons named in the proxies will have discretion to vote on these matters in accordance with their judgment.
