  Authorization; No Contravention. The execution, delivery and performance by each Note Party of each Note Document to which it is a party have been duly authorized by all necessary corporate or other organizational action, and do not and will not (with the passage of time, the giving of notice or otherwise) (a) contravene or Conflict with the terms of any of such Person’s Organizational Documents; (b) Conflict with, or result in the creation of any Lien (other than Permitted Encumbrances) under, (i) the Fifth Third Facility, (ii) any material Contractual Obligation to which such Person is a party, (iii) any Material Indebtedness or (iv) any Judgment or any arbitral award to which such Person or its property is subject; or (c) violate any Law.
