The predetermined performance criteria determine the number of options that will ultimately vest and are based on the growth of Cendants earnings and cash flows over the vesting period of the respective award. The number of options that will ultimately vest may range from 0% to 200% of the base award. Vesting occurs over a four-year period, but cannot exceed 25% of the base award in each of the three years following the grant date. Cendants policy is to grant options with exercise prices at then-current fair market value. |
