An entity in which the investor (usually a company) has a controlling interest, but owns less than a majority of the entity. If a firm is the primary beneficiary of a VIE, the holdings must be disclosed on their balance sheet. The primary beneficiary is defined as the person or company with the majority of control over the VIE's (for example, through voting rights).
